Terms & Conditions
Effective Date: September 8, 2025
Operator: Capital Development LLC (“Capital Development,” “Company,” “we,” “us,” or “our”)
Applies To: The Ambition Academy 12‑Week Business Accelerator (the “Program”), our websites, landing pages, coaching portals, online communities, and any related products and services we operate.
1) Acceptance of These Terms
By accessing our websites or enrolling in the Program, you (“Participant,” “you,” or “your”) agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not use our services. If any term here conflicts with posted Program policies (e.g., cohort‑specific rules), these Terms control.
2) Eligibility; Business Purpose; Age
You must be 18 years or older to use our services or enroll in the Program. You represent that you are participating for lawful business and educational purposes and that the information you provide is accurate and complete.
3) Accounts; Security
To access certain features, you may need to create an account and choose a password. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4) Purchases; Payment Plans; Taxes; Chargebacks
Pricing & Payment. Program fees are due at checkout or under an approved payment plan. You authorize us (and our processors) to charge your selected payment method for all fees, taxes, and any installment amounts when due.
Delinquency. Missed or declined installments may result in suspension or termination of access until amounts are brought current. We may use collection efforts consistent with law.
Chargebacks. You agree not to initiate chargebacks without first contacting us to resolve billing issues. Unfounded chargebacks may be treated as material breach.
Taxes. You are responsible for any applicable sales/use taxes.
5) Refunds; Work‑Until‑You‑Win Guarantee
All Sales Final. Except as required by law, all fees are non‑refundable.
Guarantee. If you (i) complete the entire 12‑week Program, (ii) implement all assignments, and (iii) still do not secure your first client, contract, or project within 90 days of starting, we will continue working with you at no additional cost until you do.
Verification. We may require reasonable proof of completion and effort (e.g., assignment submissions, call attendance or replay logs, implementation checklists) to confirm eligibility.
6) Program Access; License; Restrictions
License. We grant you a limited, personal, non‑exclusive, non‑transferable license to access and use Program materials during and after your enrollment for your own business development.
Restrictions. You may not copy, share, distribute, resell, sublicense, publicly display, or create derivative works from Program content, except as expressly permitted in writing.
Recordings. Live sessions may be recorded for participants’ later access and for our training/quality purposes. We will disclose when recording occurs. By remaining in a recorded session, you consent to being recorded.
Community Conduct. Treat all participants and staff with respect. No harassment, spamming, illegal conduct, or unauthorized solicitation. We may remove or suspend accounts for violations without refund.
7) Intellectual Property
All content we provide—videos, templates, worksheets, presentations, text, graphics, logos, trademarks, service marks, and software—is owned by Capital Development or our licensors and is protected by intellectual‑property laws. Except for the limited license in Section 6, no rights are granted. You may not remove proprietary notices.
8) User Content; Testimonials; Publicity
User Content. You are responsible for content you submit (posts, messages, assignments, uploads) and represent that you have all rights to provide it.
License to Us. By submitting content in the Program or community, you grant us a non‑exclusive, worldwide, royalty‑free license to host, store, display, reproduce, and use such content to operate and improve the Program and to comply with law.
Testimonials. If you voluntarily provide a testimonial (text, audio, or video), you grant us permission to use it—with your name, likeness, and business name—on our sites, ads, and materials. You may withdraw consent for future use by notifying us in writing.
9) No Professional Advice
The Program provides education and coaching. We do not provide legal, tax, accounting, investment, or professional engineering advice. You should consult qualified professionals. Your results depend on your efforts and market conditions. Except for the Work‑Until‑You‑Win guarantee, no specific earnings or outcomes are promised.
10) Third‑Party Services & Links
We may link to or integrate third‑party services (e.g., payment processors, community platforms). Those services are governed by their own terms and policies, and we are not responsible for them. You are responsible for reviewing third‑party terms.
11) Electronic Communications & SMS Terms (A2P 10DLC)
By providing your email or mobile number, you consent to receive electronic communications related to your account and the Program.
SMS/MMS Disclosure:
Program/Brand: Capital Development / Ambition Academy
Message Types: transactional (e.g., enrollment, schedule reminders, support updates) and marketing/promotional (e.g., new cohorts, events, offers).
Opt‑In: web form consent, text‑to‑join, in‑person/phone consent captured with written script, or replying YES to a consent request. We maintain opt‑in records (time/date, source, consent language).
Message Frequency: recurring; message frequency varies.
Cost: message and data rates may apply.
Opt‑Out: text STOP to cancel. Recognized synonyms: STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT. After you text STOP, you will receive a final confirmation; no further messages will be sent unless you opt in again.

Carriers: carriers are not liable for delayed or undelivered messages.
Consent: consent is not a condition of purchase.
Age: intended for adults 18+. We do not knowingly text children under 13.

12) Prohibited Activities
You agree not to: (a) reverse engineer or interfere with our services; (b) use automated means to access or scrape; (c) upload malware; (d) infringe IP or privacy rights; (e) harass, defraud, or deceive; (f) use the services for unlawful purposes; (g) share your login; (h) bypass security; or (i) misrepresent your affiliation.
13) Termination; Suspension
We may suspend or terminate access (with or without notice) for violations of these Terms, non‑payment, or abuse. Termination does not entitle you to a refund. Upon termination, the license in Section 6 ends and you must cease using Program materials except as permitted by a separate written license.
14) Disclaimers; Limitation of Liability
AS IS. Our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
Limitation. To the maximum extent permitted by law, in no event shall Capital Development be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data; business interruption; or replacement services. Our total liability for any claim will not exceed the amount you paid for the Program giving rise to the claim.
Certain Rights. Some jurisdictions do not allow exclusions or limitations; these may not apply to you.
15) Indemnification
You agree to indemnify, defend, and hold harmless Capital Development and our officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the services, (b) your breach of these Terms, or (c) your violation of law or third‑party rights.
16) Confidentiality
You may gain access to confidential information of Capital Development or other participants (e.g., strategies, templates, pricing, personal stories). You agree to keep such information confidential and not to disclose it without the discloser’s written consent, except as required by law.
17) Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, internet failures, power outages, epidemics, governmental actions, or third‑party service disruptions.
18) Governing Law; Venue; Dispute Resolution; Class Waiver
Law & Venue. These Terms are governed by the laws of the State of Georgia without regard to conflict‑of‑law principles. Exclusive venue for any permitted court action lies in state or federal courts located in or nearest to Kennesaw, Georgia.
Arbitration. Any dispute arising out of or relating to these Terms or the Program shall be resolved by binding arbitration in Kennesaw, Georgia under the rules of JAMS (or a comparable forum) by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. Disputes will be resolved only on an individual basis; class, consolidated, or representative actions are not permitted.
19) Changes to the Services or Terms
We may modify the Program, our sites, or these Terms at any time. The Effective Date above indicates when these Terms last changed. Continued use after changes take effect constitutes acceptance of the updated Terms.
20) Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
21) Severability; Waiver; Entire Agreement
If any provision is deemed unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with any Program‑specific policies referenced herein and our Privacy Policy, constitute the entire agreement between you and Capital Development regarding the subject matter.
